These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“Client”, “you”), and PalHawk (“Company”, “we”, “us”, or “our”), concerning your access to and use of our digital engineering services, custom software products, and consulting engagements.

By engaging PalHawk for project commissions, software subscriptions, retainers, or utilizing our digital deliverables, you agree to be bound by all of these Terms & Conditions. If you do not agree with all of these terms, you are expressly prohibited from using our services and deliverables.

PalHawk is a boutique digital craft and software engineering studio offering bespoke digital solutions, including:

• Aesthetic Portfolio & Flagship Websites: Custom high-performance front-end architecture, bespoke motion physics, and editorial art direction.
• Scalable E-Commerce Platforms: Headless commerce, custom checkout funnels, catalog architecture, and merchant integrations.
• Custom CRM & Billing Software: Proprietary enterprise portals, customer relationship workflows, automated invoicing engines, subscription management, and payment gateway infrastructure.
• Search Engine Optimization (SEO) & Growth Engineering: Technical SEO audits, core web vitals optimization, schema architecture, and organic indexation strategies.

Each engagement is governed by a Project Scope Agreement or Statement of Work (SOW) that outlines specific timelines, milestones, deliverables, and acceptance criteria.

Unless otherwise agreed in a customized SOW:

• Client Deliverables: Upon full settlement of all associated invoices, the Client receives 100% full ownership rights to the final bespoke codebase, digital assets, and visual materials designed specifically for the project.
• Proprietary Frameworks & Tooling: PalHawk retains all rights, title, and interest in pre-existing design components, reusable software modules, utility libraries, and internal build tooling incorporated into the final deliverable. The Client is granted an irrevocable, perpetual, royalty-free license to use, modify, and host such code as part of their production deliverable.
• Portfolio & Showcase Rights: PalHawk reserves the right to showcase non-confidential visual previews, design mockups, and case studies of completed projects on our website, award submissions, and social channels, unless explicitly restricted by an executed Non-Disclosure Agreement (NDA).

Client agrees to pay all fees according to the milestone schedule outlined in the project brief or invoice:

• Initiation Deposit: A non-refundable commencement deposit (typically 50%) is required prior to project scheduling and sprint allocation.
• Milestone Payments: Subsequent payments are tied to milestone sign-offs (e.g., Design Freeze, Development Preview, Production Release).
• Final Handover: Production repository transfer, live deployment credentials, and DNS routing are finalized following full settlement of the remaining balance.
• Late Settlements: Invoices overdue by more than 14 business days may incur an administrative interest surcharge of 1.5% per month or the maximum permitted by law.

Timely delivery of bespoke software relies upon active collaboration. The Client agrees to:

• Provide timely feedback on design prototypes, wireframes, and staging environments within 5 business days of submission.
• Supply necessary brand assets, API credentials, copy materials, and third-party account authorizations in a timely manner.
• Designate a primary decision-maker to approve milestones and prevent conflicting editorial directions.

PalHawk provides a 30-day Post-Launch Warranty Period from the date of production release. During this window, we promptly diagnose and remediate:

• Any functional bugs, script regressions, or UI rendering defects inconsistent with the approved staging environment.
• Browser cross-compatibility issues on latest versions of major modern desktop and mobile browsers (Chrome, Safari, Firefox, Edge).

The warranty does not cover issues arising from subsequent unauthorized third-party code modifications, unvetted plugin installations, or third-party API deprecations.

To the fullest extent permitted by applicable law, PalHawk Atelier shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities arising out of or related to your use of the delivered software.

In no event shall our total aggregate liability for all claims arising under this agreement exceed the total fees actually paid by the Client to PalHawk under the relevant project engagement during the preceding six (6) month period.

Either party may terminate an engagement for cause upon written notice if the other party breaches a material term and fails to cure such breach within 14 business days.

In the event of early termination by the Client without cause, the Client shall compensate PalHawk for all completed sprints, milestones, and billable engineering hours incurred up to the effective termination date.

These Terms & Conditions and any separate agreements shall be governed by and construed in accordance with the laws of the United Kingdom and international commercial standards, without regard to conflict of law principles. Any dispute arising out of or in connection with this contract shall be submitted to confidential binding arbitration or competent courts.
